Welcome to CheckCheck LLC, a validly constituted New Jersey Limited Liability Corporation, herein identified as CheckCheck.

Introduction

In accessing the CheckCheck digital application or the website found at https://getcheckcheck.com/en/, (“App”), via a mobile device, mobile digital application, computer or any platform, (collectively, the "Service") you hereby agree to be bound by the herein stated Terms and Conditions, (“TAC”), or this "Agreement", whether or not you decide to create a CheckCheck account for purposes of authenticating items for which CheckCheck offers authentication services or not. If you wish to create a CheckCheck account and make use of the Service, by doing so, you understand and agree that the herein TAC governs the Terms of Use of the Service.

These Terms govern your rights and obligations in any capacity with respect to the Service, whether as a guest or a registered user regarding the access and/or use of the CheckCheck Service website, mobile application or any Internet service (including any associated software supplied by CheckCheck) (collectively referred to as "Platform") under CheckCheck's control or ownership. These Terms constitute a legally binding agreement between CheckCheck (including any and all of its subsidiaries and/or associated companies in existence now or in the future, which shall be collectively referred to as "CheckCheck", "we", "us" or "our"), the proprietor of all rights in and to the Platform and/or Service, and You, the user of the Platform and/or Service.

These TACs are a binding legal agreement between you and CheckCheck that govern the right to use the websites, applications, and other offerings which may be part of the CheckCheck Platform.

1. Definitions and Interpretation

1.1 In these TACs, the following definitions and rules of interpretation apply unless otherwise defined or the context requires otherwise:

  • "App" shall mean CheckCheck, the software provided by CheckCheck, supplied by us and downloaded and installed by you on any device through which you obtain the Services.
  • “TAC” shall refer to and mean Terms and Conditions.
  • “Services” shall mean the digital authentication of an item or items submitted by a user pursuant to the guidelines set forth in the App.
  • “Credit” shall mean the digital ticket or token that a user purchases for purposes of authenticating an item.
  • “Platform” shall mean the digital platform engaged by the user on the user's smart phone, iPad, personal computer or whatever internet device that allows the user to engage with the App.

1.2 Headings are for convenience only and do not affect interpretation. The singular includes the plural and the masculine shall include the feminine and vice versa and at all times shall be considered to be gender neutral. CheckCheck takes no position nor suggests that any one pronoun is more appropriate to use than any other pronoun and will at all times endeavor to respect a user's chosen pronoun identification.

1.3 A reference to a person, corporation, trust, partnership, unincorporated body or other entity includes any of them.

2. The CheckCheck Digital Authentication Services

2.1 CheckCheck provides digital authentication services and opinions related to sneakers, luxury handbags and additional categories identified on the CheckCheck platform. The authentication Services are predicated upon an analysis of images and information provided by the user. The results provided by CheckCheck are only a recommendation with respect the authentication of the given item “checked” using the CheckCheck Services. Such recommendation may be used as a guidepost as to the value of a given item, but in no way is such “check” to be interpreted or construed as a guarantee of any kind ensuring that the item “authenticated” has a specific value.

2.3 By engaging the CheckCheck Services/Platform it is tacitly understood by the user that CheckCheck is not liable for any financial or transactional decisions made based on its authentication results nor does CheckCheck agree to provide indemnification as to any losses suffered by a user regarding the authentication of any given item authenticated by CheckCheck.

2.4 CheckCheck reserves the right to refuse to authenticate any item that a user may proffer to be authenticated using the CheckCheck services, including but not limited to items rejected due to insufficient image quality or suspected fraudulent submissions.

3. License of The CheckCheck Service and/or Platform

3.1 Subject to your compliance with these TACs, we grant you a limited non-exclusive, non-transferable license to download and install one copy of the App on a device of your choosing be it a mobile device or computer or any other such device with the capability to download the Service and to run such copy of the “App” solely for your own personal use. Such license does not and cannot create an ownership interest in the App or Service in favor of the user. Such a license is a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software that is provided to you by CheckCheck as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by CheckCheck, in the manner permitted by these Terms.

3.2 Your use of the CheckCheck Services grants you no rights in relation to our intellectual property rights (including, without limitation, copyright, trademarks, logos, graphics, photographs, animations, videos and text or rights in and to the App and applications) or the intellectual property of our retail or advertising partners, other than the non-transferable, personal right to use and receive the Services/Platform in accordance with these TACs.

3.3 Pursuant to these TACs You must not and agree not to:

  • license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Services or the App in any way;
  • modify or make derivative works based upon the Services or App;
  • create Internet "links" to the Services or "frame" or "mirror" any App on any other server or wireless or Internet-based device;
  • reverse engineer or access the App in order to:
    • design or build a competitive product or service,
    • design or build a product using similar ideas, features, functions or graphics of the Services or App, or
    • copy any ideas, features, functions or graphics of the Services or App, or
  • launch an automated program or script, including, but not limited to, web spiders, web crawlers, web robots, web ants, web indexers, bots, viruses or worms, or any program which may make multiple server requests per second, or unduly burdens or hinders the operation and/or performance of the Services or App
  • remove any copyright, trademark or other proprietary notices from any portion of the Services
  • attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.

4. Use of Services

4.1 Your access to and use of the Services are conditioned on your acceptance of and compliance with these TACs. By accessing or using the Services/Platform/App you agree to be bound by these TACs.

4.2 Using our Services and accessing our digital application may require a CheckCheck account. A CheckCheck account is the primary access to a subscriber's or user's account. Your account is valuable, and you are responsible for maintaining its confidentiality and security. CheckCheck is not responsible for any losses arising from the unauthorized use of your account. Please contact CheckCheck if you suspect that your account has been compromised.

You must be age thirteen (13) (or equivalent minimum age in your Home Country, as set forth in the CheckCheck Account creation process) to create an account and use our Services. CheckCheck Accounts for persons under this age can be created by a parent or legal guardian using, though certain devices may prevent such CheckCheck Accounts from accessing certain Services on the device. A parent or legal guardian who is creating an account for a minor should review this Agreement with the minor to ensure that they both understand it.

4.3 You agree to use the Services only for lawful purposes and any and all such use of the Services shall be in compliance with International, federal, state and local laws at all times.

4.4 It is Your responsibility to maintain the confidentiality of your account which includes safekeeping your username and password. At no time will CheckCheck have access to or the ability to locate or discover your password.

4.5 If you fail to keep your login details secret, or if you share your login details or account with someone else (whether intentionally or unintentionally), you accept full responsibility for the consequences of this (including any unauthorized purchases or sales) and agree to fully compensate CheckCheck for any losses or harm that may result.

4.6 CheckCheck will not be responsible to you for any loss that you suffer as a result of an unauthorized person accessing your account and using our Services and CheckCheck accepts no responsibility for any losses or harm resulting from its unauthorized use, whether fraudulently or otherwise.

4.7 You are responsible and liable for your own acts and omissions through your use of the Services and if you fail to keep your login details secret, or if you share your login details or account with someone other than yourself (intentionally or unintentionally), you agree to accept full responsibility and consequences for such unauthorized use and agree to fully compensate CheckCheck should CheckCheck suffer harm or incur any losses as a result, be it fraudulent or otherwise.

4.8 Your Assumption of Risk. You acknowledge that the veracity of any authentication procedure and determination related thereto is subject to the quality the images you provide in compliance with App guidelines. CheckCheck will not be responsible for any loss that a user suffers as a result of an unauthorized user gaining access to your account and utilizing CheckCheck Services.

4.9 You agree not to submit false, misleading, or fraudulent items and or images for authentication Services.

4.10 You agree not to use CheckCheck's authentication results for deceptive, misleading and fraudulent practices.

4.11 You agree not to copy, distribute, or modify any part of the Services without our consent.

4.12 You agree not to use bots, automated scripts, or any unauthorized means to access our Services.

5. Purchase of Credits and Refunds

5.1 Purchasing Services. CheckCheck employs a pay-for-"credit" application for its Services. In order to access the Services, a user must first purchase a “credit” or “credits.” The price of an individual credit is subject to a number of factors, including but not limited to the nature of the “check” - be it an immediate 15-minute “check” or four-hour “check,” the amount of credits a user purchases, or the nature of the relationship with the user (individual or business purchasing bulk credits). In all situations, the user must purchase credits to utilize the Services. When you purchase credit(s) provided by CheckCheck to utilize its Services, you agree to pay all charges for the credits and any applicable fees or taxes, which, if any, shall be identified at checkout. The price of the credits will be displayed on the platform through which you access the Services.

5.2

  • (i) Subscribers will earn bonus checks which are non-transferable and have no cash value.
  • (ii) Bonus Checks will expire immediately upon the cancellation, termination, or non-renewal of the associated subscription plan (weekly or monthly).
  • (iii) Unused Bonus Checks roll over but expire after the subscription ends.

5.3 Expiration of the credit(s). If the user fails to use the credit(s) within a twelve (12) month period following the date of purchase, those credits will expire.

5.4 Referral Credits. From time to time pursuant to promotional programs and other activations, CheckCheck clients may receive promotional credits, identified as Referral Credits, for exclusive use by the recipient. Any and all referral credits referenced herein shall have a "life use" of thirty (30) days and that after the thirty (30) day time period such referral credit shall automatically terminate/expire and can no longer be activated in any capacity. Further, any referral credit referenced herein has no monetary value and as such the referral credit(s) is/are prohibited from being transferred and/or sold and any such alienation of the referral credit shall be deemed a violation of the herein Terms and Conditions and CheckCheck reserves any and all legal and equitable rights it may have with regard to this issue.

6. Ethics

6.1 CheckCheck prohibits discriminating against others on the basis of the following protected characteristics:

  • Race
  • Religion
  • Gender
  • Age
  • Disability
  • Familial status (having children)
  • Marital status (being married or not)
  • Ethnicity
  • Nation of origin
  • Sexual orientation
  • Sex
  • Gender identity
  • Caste
  • Pregnancy and related medical conditions

6.2 CheckCheck does not and will not treat users of the Service differently or deny service to someone because of their protected characteristics or the perception that they have a protected characteristic. Some examples of this include:

  • Declining or canceling a purchase of credits.
  • Imposing different terms, conditions, or different limitations on access, fees, or other requirements related to the use of the Service.
  • Indicating a preference for or against a specific type of guest.

6.3 CheckCheck considers an individual's gender(s) to be whatever identity they express or prefer. If a user expresses a pronoun preference (for example, he/him, she/her, they/them), that preference should be respected.

6.4 CheckCheck reserves the right to refuse Service to anyone that uses symbols, objects, logos, slogans, or images that are hateful, or stereotype people because of a protected characteristic, or convey a discriminatory meaning.

7. Term and Termination

7.1 These TACs will remain in full force and effect while you use the Service and/or have a registered account with CheckCheck. CheckCheck may terminate or suspend your account at any time without notice if CheckCheck believes that you have breached the TACs, or for any other reason, with or without cause, in its sole discretion. Upon such termination or suspension, you will not be entitled to any refund of unused credits. CheckCheck is not required to disclose, and may be prohibited by law from disclosing, the reason for the termination or suspension of your account. After your account is terminated for any reason, all terms of this TAC survive such termination, and continue in full force and effect, except for any terms that by their nature expire or are fully satisfied.

7.2 The Services that CheckCheck provides are always evolving and the form and nature of the Services that CheckCheck provides may change from time to time without prior notice to you. In addition, CheckCheck may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally and may not be able to provide you with prior notice. CheckCheck also retains the right to create limits on use and storage at our sole discretion at any time without prior notice to you.

8. Privacy

Any information that you or other users provide to CheckCheck is subject to our Privacy Policy, which governs our collection and use of your information. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer, storage, processing and use by CheckCheck. As part of providing you the Services, we may need to provide you with certain communications, such as service announcements, notifications and administrative messages. These communications are considered part of the Services and your account, which you may not be able to opt-out from receiving.

9. Disclaimer and Exclusion of Liability

You acknowledge that:

9.1 In accessing the Services, you have relied on your own skill and judgment in determining its sufficiency for the use and results which you intend.

9.2 No promise, representation or warranty has been made by CheckCheck in respect to the profitability, benefits or any other consequence in the use of the App, or in respect of the suitability of the App to the operations, business or needs of the user.

9.3 The Services are provided "as is," and CheckCheck hereby expressly disclaims any and all warranties of any kind or nature, whether express, implied, or statutory. CheckCheck does not warrant or represent that the App will be free from bugs or that the use of the App will be uninterrupted or error free, and CheckCheck does not make any other representations regarding the use, or the results of use, of the Site in terms of accuracy, reliability, or otherwise. However, CheckCheck does warrant that it will make a good faith effort at all times to expeditiously remediate the existence of bugs and/or interruptions in the Service immediately upon receiving knowledge that such a situation has arisen.

9.4 CheckCheck shall not be liable for any loss of use or goodwill, interruption of business, loss or inaccuracy of business information or data, lost profits, cost of procurement of substitute services, or any indirect, special, incidental, exemplary, or consequential damages of any kind regardless of the form of action, whether in contract, tort (including negligence), strict product liability, or otherwise, even if it has been advised of the possibility of such damages.

9.5 In no event shall CheckCheck, its agents, successors, subsidiaries, affiliates or assigns, and each of their respective officers, directors, employees be liable to any User of the App or any other person or entity for any direct, indirect, special, incidental, punitive, consequential or exemplary damages (including, but not limited to, damages for loss of profits, loss of data, or loss of use) arising out of the use or inability to use the App or any information or images contained thereon or stored or maintained by CheckCheck, whether based on warranty, contract, tort, or otherwise, even if CheckCheck has been advised of or should have known of the possibility of such damages or losses.

9.6 In no event shall the total liability of CheckCheck, its agents, successors, subsidiaries, affiliates or assigns, and each of their respective officers, directors, employees, for all damages, losses, and causes of action resulting from User's use of the App, whether in contract, tort (including, but not limited to negligence) or otherwise, exceed the amount paid to CheckCheck for the applicable license and use of the Services. Without limiting the foregoing, in no event shall CheckCheck, its divisions, agents, successors, subsidiaries, affiliates or assigns, and each of their respective officers, directors, employees, have any liability for any damages or losses arising out of or otherwise incurred in connection with the loss of any image or data or information contained in a User Account or otherwise stored by or on behalf of CheckCheck.

9.7 The rights and obligations of each of the parties under this paragraph (Disclaimer and Exclusion of Liability) will survive expiration or termination of these Terms of Use.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States of America. Both you and us agree to submit to the exclusive jurisdiction of the courts of New Jersey as regards any dispute or matter arising under these Terms.
